Please attend this important Annual Meeting. It is being held at the Bayside Grange. Saturday, October 12th. Dissenters will be protected from retribution by disgruntled Coop Management figures and their minions. You do not have to wear your Guy Fawkes masks. But you can bring your signs . The local police will have a presence if it escalates.
Below is an excerpt from the Bylaws regarding the power members have as a Quorum. Members have the power to remove board members or to ratify new policies if 250 members are present.
Section 4.08. Waivers, Consents, and Approvals. The
transactions of any meeting of the Members
however called and noticed, and wherever held, are
as valid as though had at a meeting duly held after
regular call and notice, if a quorum is present, and if,
either before or after the meeting, each of the
persons entitled to vote, not present in person,
provides a waiver of notice or consent to the holding
of the meeting or an approval of the minutes thereof
in writing. All waivers, consents, and approvals shall
be filed with the corporate records or made a part of
the minutes of the meeting.
A member’s attendance at a meeting shall constitute
a waiver of notice of and presence at the meeting,
unless the member objects at the beginning of the
meeting. However, attendance at a meeting is not a
waiver of any right to object to the consideration of
matters required to be included in the notice but not
included, if an objection is made at the meeting.
Section 4.09. Quorum at Meeting. The lesser of two
hundred fifty (250) members or members
representing five percent (5%) of the voting power
shall constitute a quorum at a meeting of members.
Any Bylaw amendment to increase the quorum may
be adopted only by approval of the members. When
a quorum is present, the affirmative vote of the
majority of the voting power represented at the
meeting and entitled to vote shall be the act of the
members, unless provided otherwise by these
Bylaws or applicable law. The only matters that may
be voted upon at any regular meeting actually
attended by less than one third (1/3) of the voting
power are matters notice of the general nature of
which was given pursuant to the first sentence of
Section 4.04 of these Bylaws.
Section 4.10. Loss of Quorum at Meeting. The
members present at a duly called or held meeting at
which a quorum is present may continue to transact
business until adjournment, notwithstanding the
withdrawal of enough members to leave less than a
quorum, if the action taken, other than
adjournment, is approved by at least a majority of
the members required to constitute a quorum.

If I understand correctly, these rules state that if a minimum of 250 members attend the General Meeting, a quorum is present. If a quorum exists, a majority vote (126 people) could approve the removal of, say, Ponzi Fiske or the entire Board of Directors. Great idea !
